GameVillage Terms of Use

The GameVillage service is intended for users residing in Japan. Before using this service, you must read the full text of these terms and conditions and agree to them.

Article 1 (Application)

1. The purpose of these Terms of Use is to define the rights and obligations between our company and users in relation to the conditions for providing this service and the use of this service, and they apply to all relationships between users and our company in relation to the use of this service.

2. The rules for using this service that our company posts on our website shall constitute part of these Terms of Use.

3. If there is any discrepancy between the content of these Terms and the rules in the previous section or any other explanation of the Service outside of these Terms, the provisions of these Terms shall take precedence.

Article 2 (Definitions)

The following terms used in these Terms shall have the meanings set forth below.

Article 3 (Registration)

1. Those who wish to register for and use the Service (hereinafter referred to as “Registration Applicants”) may apply to the Company for registration to use the Service by agreeing to comply with these Terms and Conditions and providing the Company with certain information specified by the Company (hereinafter referred to as “Registration Information”) in the manner prescribed by the Company, the applicant may apply to the Company for registration to use the Service.

2. If the Company approves the registration application, it will notify the applicant accordingly. The registration of the applicant as a registered user shall be deemed to be complete upon the Company's notification of this.

3. The Company may refuse registration or re-registration if the registration applicant falls under any of the following items, and the Company is under no obligation to disclose the reason for such refusal.

Article 4 (Changes to Registered Information)

If there are any changes to the registered information, the registered user shall notify the Company of the relevant changes without delay in the manner prescribed by the Company.

Article 5 (Management of Passwords and User IDs)

1. Registered users shall manage and store their passwords and user IDs for this service appropriately at their own responsibility, and shall not allow third parties to use them, or lend, transfer, change the name of, or sell them.

2. Registered users shall be responsible for any damages incurred due to insufficient management of passwords or user IDs, operational errors, use by third parties, etc.

Article 6 (Prohibited Matters)

Users must not engage in any of the following acts when using the Service, or any acts that the Company deems to fall under any of the following items.

Article 7 (Suspension of the Service, etc.)

The Company may suspend or interrupt the provision of all or part of the Service without prior notice to registered users in the following cases.

Article 8 (Rights Ownership)

1. All intellectual property rights related to our website and the Services belong to our company or to those who have granted us a license, and the license to use the Services based on these Terms of Use does not mean a license to use the intellectual property rights of our company or those who have granted us a license related to our website or the Services.

2. The user represents and warrants to the Company that they have the legal right to post or otherwise transmit the posted data, and that the posted data does not infringe on the rights of any third party.

3. The user grants the Company a worldwide, non-exclusive, royalty-free, sublicensable and transferable license to use, reproduce, distribute, create derivative works of, display and perform the posted data. You also grant other users a non-exclusive license to use, reproduce, distribute, create derivative works of, display, and perform any posted data that you post or otherwise transmit using the Services.

4. You agree not to exercise any moral rights that you may have in any content you post on the Services or in any content that is derived from the Services, against us or anyone who has been granted rights to use the content by us.

Article 9 (Cancellation of Registration, etc.)

1. If a user falls under any of the following items, the Company may delete or hide the posted data, temporarily suspend the use of the Service by the user in question, or cancel the registration of the user as a registered user, without prior notice or warning.

2. If any of the reasons in the preceding paragraph apply, the registered user will automatically lose the benefit of the deadline for all debts owed to the Company, and must immediately pay all debts to the Company.

Article 10 (Cancellation of Registration)

1. If a user falls under any of the following items, the Company may delete or hide the posted data, temporarily suspend the use of the Service by the user in question, or cancel the registration of the user as a registered user, without prior notice or warning.

2. If you have any debts to the Company when you cancel your registration, you will automatically lose the benefit of the time limit for all debts owed to the Company, and you must immediately pay all debts to the Company.

3. The handling of user information after cancellation of registration shall be in accordance with the provisions of Article 14.

Article 11 (Changes to and Termination of the Contents of the Service)

1. The Company may change the content of the Service or terminate the provision of the Service for any reason.

2. If the Company terminates the provision of the Service, the Company shall notify the User in advance.

Article 12 (Denial of Warranty and Exemption from Liability)

1. The Company makes no guarantees, either explicit or implicit, that the Services will meet the user's specific objectives, that they will have the expected functions, commercial value, accuracy or usefulness, that they will be available on an ongoing basis, or that they will be free from defects.

2. The Company shall not be liable for any damages incurred by users in relation to this service, except in cases where the Company is found to be at fault or grossly negligent.

3. Users shall be responsible for resolving any transactions, communications, disputes, etc. that arise between users and other registered users or third parties in relation to this service or the Company's website.

4. The Company makes no guarantees (whether express or implied) regarding the accuracy, timeliness, completeness, merchantability, or fitness for purpose of the content of advertisements (regardless of their format) published on the Company's website or of external sites linked to the Company's website. The Company also accepts no liability for any damages or losses incurred by users or third parties. Please use the contents of advertisements and linked external sites at your own discretion and responsibility.

Article 13 (Confidentiality)

Users shall treat as confidential any non-public information disclosed by the Company to Users in relation to the Services, unless the Company has given prior written consent.

Article 14 (Handling of User Information)

1. The handling of user information by our company shall be as stipulated in our separate privacy policy, and users agree to the handling of their user information by our company in accordance with this privacy policy.

The Company may use and disclose information, data, etc. provided by the User to the Company as statistical information in a form that does not identify individuals at the Company's discretion, and the User shall not object to this.

Article 15 (Changes to these Terms of Use, etc.)

The Company may change these Terms and Conditions if it deems it necessary. If the Terms and Conditions are changed, the Company will notify registered users of the changes by posting them on the Company website or by other appropriate means, or will notify registered users of the changes. However, if the changes require the consent of registered users under the law, the Company will obtain the consent of registered users in the manner prescribed by the Company.

Article 16 (Contact/Notification)

1. Any inquiries regarding the Service, or any other communication or notification from the User to the Company, as well as any notification regarding changes to these Terms of Use, or any other communication or notification from the Company to the User, shall be made in the manner prescribed by the Company.

2. If the Company contacts or notifies the User at the email address or other contact details included in the registered details, the User shall be deemed to have received said contact or notification.

Article 17 (Transfer of Status under the Service Usage Agreement, etc.)

1. Users may not transfer, assign, create a security interest in, or otherwise dispose of their position under the Terms of Use or their rights and obligations under these Terms of Use to a third party without the prior written consent of the Company.

2. If the Company transfers the business related to the Services to another company, the Company may transfer the status under the User Agreement, the rights and obligations under these Terms, and the registered information of registered users and other customer information to the transferee of the business transfer, and the User shall be deemed to have consented to such transfer in advance in this paragraph. Furthermore, the business transfer stipulated in this section shall include not only ordinary business transfers, but also company splits and any other cases where business is transferred.

Article 18 (Severability)

Even if any provision of these Terms or part thereof is judged to be invalid or unenforceable under the Consumer Contract Act or other laws and regulations, the remaining provisions of these Terms and the remaining parts of the provisions judged to be invalid or unenforceable shall continue to be fully effective.

Article 19 (Governing Law and Court of Jurisdiction)

1. The governing law of these Terms of Use and the Service Usage Agreement shall be the laws of Japan.

2. The Tokyo District Court shall be the court of exclusive jurisdiction for the first trial for any and all disputes arising from or related to these Terms of Use or the Service Usage Agreement.
